PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE BREEZEE.TV SERVICE, SOFTWARE, APPLICATIONS, OR WEBSITE. BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “Host,” “You,” or “Your”) and Breezee.tv (“Breezee,” “Company,” “We,” “Us,” or “Our”), the operator of the Breezee.tv platform accessible at www.breezee.tv. These Terms govern Your access to and use of the Breezee.tv software platform, streaming device application, Setup Tool, and all related services (collectively, the “Service”).

1. Definitions

The following terms have the meanings set forth below wherever used in these Terms:

“Device Management Mode” means the elevated administrative privilege on supported streaming devices that allows the Service to manage applications, enforce policies, and control streaming application sessions on Your behalf.

“Device” means any supported streaming media device on which You install and configure the Breezee.tv application. The Service currently supports Amazon Fire TV devices. Support for additional platforms including Roku and Apple TV is planned for future releases. Compatibility is limited to the device types officially listed as supported on the Breezee.tv website at the time of Your subscription.

“Guest” means any individual who occupies, stays at, or visits a Property and who may access the Device at that Property.

“Property” means any vacation rental unit, short-term rental, hotel room, resort unit, or other accommodation managed by a Customer using the Service.

“Service” means the Breezee.tv software-as-a-service platform, including the web dashboard, Fire TV application, Electron desktop Setup Tool, device configuration utilities, automated streaming account logout functionality, and any associated documentation, APIs, and support services. Future releases may extend support to additional streaming device platforms including Roku and Apple TV.

“Setup Tool” means the Breezee.tv desktop application used to perform the initial one-time configuration of Device Management Mode on Your supported streaming device.

“Streaming Services” means any third-party subscription or on-demand streaming platforms, including but not limited to Netflix, Disney+, Hulu, HBO Max, Amazon Prime Video, Apple TV+, Peacock, Paramount+, and similar services, which may be present on a Device.

“Subscription Plan” means the monthly or annual pricing plan You select to access the Service, as published on the Breezee.tv website.

2. Acceptance of Terms

2.1 Binding Agreement

By creating an account, accessing the Service, installing the Breezee.tv application, or using the Setup Tool, You agree to be legally bound by these Terms and Our Privacy Policy, which is incorporated herein by reference. If You are entering into these Terms on behalf of a company, property management company, or other legal entity, You represent that You have authority to bind that entity and its affiliates to these Terms.

2.2 Age Requirement

You must be at least 18 years of age to use the Service. By using the Service, You represent and warrant that You meet this age requirement.

2.3 Modifications

Breezee reserves the right to modify these Terms at any time. We will provide notice of material changes by posting an updated version on Our website or by sending an email to the address associated with Your account. Your continued use of the Service following such notice constitutes acceptance of the revised Terms.

3. Description of Service

3.1 Core Functionality

Breezee.tv is a streaming device management service that enables vacation rental Hosts, property managers, and hospitality operators to automatically log Guests out of Streaming Services on shared devices at the end of each guest stay. The Service currently supports Amazon Fire TV devices. Support for Roku and Apple TV is planned for future releases. The Service operates exclusively as a streaming TV software platform — it does not provide smart home, smart lock, Bluetooth, NFC, or any other non-TV device management functionality.

3.2 How It Works

The Service operates in two components: (a) a one-time Device setup process using the Breezee.tv Setup Tool, which configures Device Management Mode on Your Fire TV device; and (b) the ongoing Breezee.tv application installed on the Device, which manages automated logout actions at scheduled checkout times based on Your configuration settings.

3.3 Selective Logout

The Service allows You to configure which Streaming Services are logged out at Guest checkout and which remain active. You acknowledge that You are solely responsible for configuring the Service appropriately for Your Property and use case, including determining which streaming accounts should be treated as guest accounts versus property amenities You wish to preserve across stays.

3.4 Third-Party Streaming Services

Breezee.tv interacts with third-party Streaming Services solely through standard Android application management interfaces. Breezee does not access, store, intercept, or transmit any Guest or Host credentials, account information, viewing history, or personal data belonging to any Streaming Service. Any changes to Streaming Service application behavior, APIs, or terms of service may affect the Service’s functionality, and Breezee is not responsible for such third-party changes.

3.5 Device Compatibility

The Service currently supports Amazon Fire TV devices. Breezee plans to extend support to Roku and Apple TV platforms in future releases; however, Breezee makes no binding commitment as to the timing or availability of such support. You are responsible for purchasing, maintaining, and ensuring the compatibility of Your Device with the current supported version of the Service. Breezee does not manufacture, sell, or warrant any Device, and does not guarantee that the Service will function on every Fire TV device model or firmware version.

4. Customer Accounts

4.1 Account Registration

To access the Service, You must register for an account by providing accurate, current, and complete information, including Your name, email address, property details, and payment information. You agree to update this information promptly to keep it accurate.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of Your account credentials and for all activity that occurs under Your account. You agree to notify Breezee immediately at legal@breezee.tv of any unauthorized use of Your account or any other security breach. Breezee will not be liable for any loss or damage arising from Your failure to comply with this section.

4.3 Property Management Companies and Enterprise Users

If You are a property management company or similar enterprise, You may add multiple Properties under Your account. Each Property requires its own active Subscription Plan. You represent that You have the authority to manage each Property added to Your account and that Your use of the Service for each Property complies with any applicable property owner agreements and applicable law.

5. Subscriptions, Billing, and Payments

5.1 Subscription Plans

The Service is offered on a per-Property subscription basis. Subscription Plans are available on a monthly or annual basis, as published on the Breezee.tv website. Annual plans are billed upfront for the full year. Pricing is subject to change with at least 30 days’ prior written notice.

5.2 Free Trial

Breezee may offer a free trial period for new Customers, as specified on the website at the time of sign-up. At the end of the free trial, Your account will automatically convert to a paid Subscription Plan unless You cancel before the trial period expires. By providing payment information during free trial sign-up, You authorize Breezee to charge You for the applicable Subscription Plan at the conclusion of the trial period.

5.3 Payment Authorization

You authorize Breezee to charge Your payment method (via Stripe or PayPal, as selected) on a recurring basis in accordance with Your chosen Subscription Plan. All fees are quoted and charged in U.S. dollars. You represent that You are authorized to use the payment method provided.

5.4 Payment Processors

Breezee uses Stripe and PayPal as third-party payment processors. By using the Service, You agree to the applicable terms of service of your chosen processor (Stripe’s terms at stripe.com/legal and PayPal’s user agreement at paypal.com/legalhub). Breezee does not store Your full payment card details; all payment data is handled by these processors in accordance with PCI-DSS standards.

5.5 Failed Payments

If Your payment method is declined or a charge fails, Breezee will attempt to notify You and may retry the charge. If payment is not received within 7 days of the due date, Breezee reserves the right to suspend or terminate Your access to the Service. You remain responsible for all outstanding amounts.

5.6 Taxes

All fees are exclusive of applicable taxes, levies, duties, or similar governmental assessments (including sales tax, use tax, VAT, and GST). You are responsible for paying all such taxes, except those based on Breezee’s net income.

5.7 Refund Policy — 30-Day Money-Back Guarantee

Breezee offers a 30-day money-back guarantee for new Customers. If You are not satisfied with the Service for any reason, You may request a full refund within 30 days of Your first paid charge by contacting Breezee at legal@breezee.tv. Refund requests after 30 days will not be honored. This guarantee applies to Your first subscription period only and may not be used in conjunction with promotional pricing. Breezee reserves the right to deny refunds where there is evidence of abuse of this policy.

5.8 Cancellation

You may cancel Your Subscription Plan at any time through Your account dashboard or by contacting Breezee support. Cancellation takes effect at the end of the then-current billing period. No partial refunds are issued for unused time within a billing period, except under the 30-day money-back guarantee described in Section 5.7 or as required by applicable law. Upon cancellation, Your access to the Service will remain active until the end of the paid billing period.

6. Device Ownership, Setup, and Configuration

6.1 Your Device

You are solely responsible for purchasing, owning, and maintaining any Device used with the Service. Breezee does not sell, supply, ship, or take responsibility for the Device. Any hardware recommendations made by Breezee (whether on our website, in documentation, or in support communications) are for convenience only and do not constitute a warranty, endorsement, or guarantee of compatibility or performance.

6.2 Setup Tool and Device Configuration

The initial configuration of each Fire TV Device requires use of the Breezee Setup Tool. By installing and using the Setup Tool, You agree to follow the setup instructions provided by Breezee. You acknowledge that enabling Device Management Mode is a one-time, per-device process that modifies the administrative configuration of the Device. You are responsible for ensuring this process is carried out correctly and in accordance with Breezee’s setup documentation.

6.3 Device Management Mode Acknowledgment

You understand and acknowledge that: (a) Device Management Mode grants the Breezee application elevated system-level privileges on the Device; (b) enabling Device Management Mode is an intentional administrative action and may limit certain Device configuration changes while Breezee is set as the device manager; (c) the purpose of this configuration is solely to enable Breezee to manage streaming application sessions on Your behalf at checkout; and (d) disabling or changing the Device Management configuration may require a factory reset of the Device.

6.4 No Liability for Device Issues

Breezee is not responsible for any malfunction, damage, incompatibility, or performance issues related to Your Device, including issues arising from the Device Owner Mode setup process, Android operating system updates, manufacturer firmware changes, or physical damage to the Device.

7. Acceptable Use Policy

7.1 Permitted Uses

You may use the Service only for lawful purposes and in accordance with these Terms. Permitted uses include configuring Devices at Properties You own or manage, scheduling automated logout actions for Guest streaming sessions, and managing your Property portfolio through the Breezee dashboard.

7.2 Prohibited Uses

You expressly agree that You will NOT:

  • Use the Service in any manner that violates applicable federal, state, local, or international law or regulation;
  • Use the Service to access, intercept, collect, or transmit Guest personal data, login credentials, or account information from any Streaming Service;
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Service or Setup Tool;
  • Modify, create derivative works based on, or sublicense the Service without prior written consent from Breezee;
  • Use the Service for any purpose other than managing Properties You own or are authorized to manage;
  • Share Your account credentials with unauthorized parties or allow multiple users to access the Service under a single-user account;
  • Attempt to circumvent, disable, or interfere with security features of the Service;
  • Use the Service to facilitate unauthorized access to any Streaming Service account or any third-party system;
  • Introduce malicious code, viruses, or any disruptive software into the Service or any Device;
  • Use automated scripts, bots, or crawlers against the Breezee platform without prior written consent;
  • Represent to Guests that Breezee provides any monitoring of Guest activity beyond streaming account management at checkout.

7.3 Guest Privacy Obligations

You are solely responsible for ensuring that Your use of the Service complies with all applicable privacy laws and regulations in the jurisdictions where Your Properties are located, including any obligations to disclose to Guests the existence of device management technology in Your Properties. Breezee does not monitor Guest behavior, viewing history, or usage patterns on Streaming Services. Breezee’s function is limited to initiating logout actions on the Device at the time of checkout.

8. Intellectual Property and Data

8.1 Breezee’s Intellectual Property

All right, title, and interest in and to the Service, including the software, algorithms, interfaces, design, branding, trademarks, and documentation, are and remain the exclusive property of Breezee. These Terms grant You only a limited, non-exclusive, non-transferable, non-sublicensable license to use the Service during the Subscription Term solely for Your permitted use as described herein. No ownership rights are transferred to You.

8.2 Your Data

You retain ownership of all data, content, and information You provide to Breezee in connection with your use of the Service, including your Property configuration data and account information (“Customer Data”). You grant Breezee a non-exclusive, worldwide license to use Customer Data solely to provide, maintain, and improve the Service.

8.3 Aggregated and Anonymized Data

Breezee may collect and use anonymized, aggregated data derived from your use of the Service for product improvement, analytics, and research purposes. This data will not identify You or Your Guests individually.

8.4 Feedback

If You provide Breezee with any feedback, suggestions, or feature requests regarding the Service, You hereby assign to Breezee all right, title, and interest in such feedback. Breezee may incorporate feedback into the Service without any obligation, payment, or attribution to You.

9. Confidentiality

Each party may receive confidential information of the other in connection with the Service. You agree to keep confidential all non-public technical, business, and pricing information disclosed by Breezee and to use it only to exercise Your rights under these Terms. You agree to protect Breezee’s confidential information with at least the same degree of care You use for Your own confidential information, but no less than reasonable care. This obligation survives termination of these Terms.

10. Term and Termination

10.1 Term

These Terms commence when You create an account or first use the Service and continue until Your Subscription Plan is cancelled or these Terms are otherwise terminated in accordance with this Section.

10.2 Termination by You

You may cancel Your Subscription Plan at any time as described in Section 5.8. Cancellation of Your Subscription constitutes termination of these Terms with respect to the cancelled Properties.

10.3 Termination by Breezee

Breezee may suspend or terminate Your access to the Service immediately upon written notice if: (a) You materially breach these Terms and fail to cure such breach within 10 days of written notice; (b) You fail to pay any amounts due and such failure continues for 7 days after notice; (c) You violate the Acceptable Use Policy in Section 7; (d) Breezee is required to do so by law or regulatory requirement; or (e) Breezee ceases to offer the Service.

10.4 Effect of Termination

Upon termination, Your license to use the Service is immediately revoked. Breezee will deactivate Your account and may delete Your Customer Data after a reasonable transition period, except as required to be retained by applicable law. Provisions of these Terms that by their nature should survive termination (including payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, and governing law) will survive.

11. Disclaimer of Warranties

THE SERVICE, INCLUDING THE SOFTWARE, SETUP TOOL, AND ALL RELATED COMPONENTS, IS PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BREEZEE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

BREEZEE DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM USING THE SERVICE WILL BE ACCURATE OR RELIABLE; (D) ANY ERRORS OR DEFECTS IN THE SERVICE WILL BE CORRECTED; OR (E) THE SERVICE WILL BE COMPATIBLE WITH EVERY ANDROID TV DEVICE OR STREAMING SERVICE APPLICATION NOW OR IN THE FUTURE.

BREEZEE IS NOT RESPONSIBLE FOR ANY CHANGES MADE BY THIRD-PARTY STREAMING SERVICES TO THEIR APPLICATIONS, LOGIN FLOWS, OR TERMS THAT MAY AFFECT THE SERVICE’S ABILITY TO PERFORM AUTOMATED LOGOUTS. YOU ACKNOWLEDGE THAT GUEST STREAMING ACCOUNTS ARE THIRD-PARTY SERVICES OUTSIDE BREEZEE’S CONTROL.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BREEZEE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, LOSS OF REVENUE, FAILURE TO LOG OUT A GUEST’S STREAMING ACCOUNT, GUEST COMPLAINTS, OR ANY OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT BREEZEE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL BREEZEE’S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE FORM OR THEORY OF ACTION (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO BREEZEE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of certain liabilities. If You reside in such a jurisdiction, some of the above limitations may not apply to You to the extent required by applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Breezee and its officers, directors, employees, contractors, licensors, agents, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Your use of or access to the Service; (b) Your violation of these Terms; (c) Your violation of any applicable law or the rights of any third party, including Guests; (d) Your failure to obtain required consents from property owners, Guests, or regulatory authorities; (e) any dispute between You and a Guest regarding streaming account management; or (f) any allegation that Your Customer Data infringes any third-party intellectual property or privacy rights.

14. Third-Party Services and Links

The Service may integrate with or reference third-party services, including Stripe, PayPal, and third-party Streaming Services. These integrations are provided for Your convenience. Breezee does not endorse, control, or assume responsibility for any third-party service. Your use of third-party services is governed by their respective terms and privacy policies. Breezee is not liable for any act, omission, or failure of any third-party service, including any change in Streaming Service functionality that affects the Service.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the dispute informally by contacting Breezee at legal@breezee.tv. Breezee will attempt to resolve the dispute within 30 days of receipt of Your notice.

15.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights. The arbitration shall be conducted in the State of Wyoming, or by videoconference at the election of either party for claims under $25,000. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AND BREEZEE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.

15.4 Governing Law

These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. For any matters not subject to arbitration, You and Breezee consent to the exclusive jurisdiction of the courts located in the State of Wyoming.”),

16. Privacy and Data Protection

Breezee’s collection and use of personal information in connection with the Service is described in Our Privacy Policy, available at www.breezee.tv/privacy-policy, which is incorporated into these Terms by reference. By using the Service, You consent to Our collection, use, and sharing of information as described in the Privacy Policy.

16.1 GDPR and UK GDPR

If You are established in the European Economic Area (EEA) or the United Kingdom, or if You process personal data of EEA or UK residents using the Service, the following applies:

  • Breezee acts as a Data Controller with respect to personal data it collects from You as a Customer (such as account and billing data). Breezee acts as a Data Processor only to the extent it processes personal data on Your behalf in connection with delivering the Service.
  • You are independently responsible as a Data Controller for any personal data of your Guests or end-users that you collect, manage, or process in connection with your Properties and your use of the Service.
  • Enterprise Customers and property management companies with EU/UK customer bases may request a Data Processing Addendum (DPA) by contacting legal@breezee.tv. The DPA, when executed, forms part of these Terms and governs Breezee’s processing of personal data on Your behalf to the extent required by GDPR Article 28.

16.2 Cookie Consent

Breezee’s website uses CookieAdmin to manage cookie consent. Visitors to our website are presented with a cookie consent banner and may accept, reject, or customize non-essential cookies. This is managed in accordance with our Privacy Policy and applicable ePrivacy requirements.

16.3 Your Data Responsibilities

You are solely responsible for ensuring that your use of the Service and any data you collect, process, or manage in connection with your Properties complies with all applicable privacy laws in the jurisdictions where your Properties are located, including GDPR, UK GDPR, CCPA, and any local data protection legislation. Breezee does not monitor Guest behavior, viewing history, or usage patterns on Streaming Services and has no access to such data.

17. Communications and Notices

By creating an account, You agree to receive communications from Breezee electronically, including emails regarding Your account, billing, service updates, and security notices. You agree that electronic communications satisfy any legal requirement that such communications be in writing. All legal notices to Breezee must be sent to legal@breezee.tv. Notices will be deemed given upon confirmed delivery.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable Subscription Plan, constitute the entire agreement between You and Breezee with respect to the Service and supersede all prior agreements, representations, or understandings.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

18.3 Waiver

Breezee’s failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Breezee.

18.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without Breezee’s prior written consent. Breezee may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets. These Terms are binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

18.5 Force Majeure

Breezee will not be liable for any failure or delay in performance resulting from circumstances beyond Our reasonable control, including acts of God, natural disasters, government actions, internet outages, third-party infrastructure failures, pandemics, or cyber attacks.

18.6 Independent Contractors

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between You and Breezee.

18.7 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.
